Terms of Service

1. About Titleblock

Titleblock is an online marketplace operated by TMC Design, a registered business name of a sole trader based in Ireland. Titleblock allows clients to post projects and allows freelancers to submit bids, communicate with clients, deliver work and receive payment.

Titleblock provides the platform and payment workflow but is not a party to the contract for professional services between a client and a freelancer, except where these Terms expressly state otherwise.

2. Eligibility and accounts

You must be legally capable of entering into a binding contract to use Titleblock. You are responsible for keeping your account details accurate and your login credentials secure.

You are responsible for all activity carried out through your account unless you notify us promptly of unauthorised access.

3. Projects and bids

Clients are responsible for providing accurate project descriptions, requirements, budgets, deadlines and files. Freelancers are responsible for submitting accurate bids and for confirming that they have the skills, capacity and legal right to perform the work they offer.

When a client accepts a bid, the client and freelancer enter into an agreement with each other for the performance of that project.

4. Payments and milestones

Titleblock may allow projects to be divided into milestones. Clients may be required to fund a milestone before work begins. Payments are processed through Stripe or another payment provider made available through the platform.

Funds associated with a milestone may be held until the client approves the relevant work, the milestone is otherwise released under the platform rules, or a dispute is resolved.

5. Fees

Titleblock may charge platform, service or commission fees. Any applicable fee will be disclosed through the platform before or as part of the relevant transaction.

Payment processors may also charge their own fees. Taxes may apply depending on the user's location and circumstances.

6. Delivery and acceptance

Freelancers must deliver work in accordance with the agreed project requirements. Clients should review delivered work promptly and either approve it or identify any genuine issue with the delivery.

A client must not unreasonably withhold approval where the work has been delivered in accordance with the agreed requirements.

7. Disputes

If a dispute arises, the client and freelancer should first try to resolve it directly through the Titleblock messaging and project tools.

Where Titleblock provides a dispute process, Titleblock may review project descriptions, bids, messages, milestone details, files and delivery records when deciding how funds should be handled.

Titleblock may temporarily pause or prevent a payout while a dispute is under review.

8. Refunds and cancellations

Refunds and cancellations depend on the status of the project, milestone and payment. A funded milestone that has not been released may be eligible for refund where the parties agree or where a dispute decision requires it.

Once funds have been released to a freelancer, recovery may not always be possible.

9. User responsibilities

You must not use Titleblock for unlawful, fraudulent, abusive or misleading activity. You must not upload content that you do not have the right to use or share.

Users are responsible for complying with applicable tax, employment, professional, licensing, intellectual property and other legal obligations arising from their own activities.

10. Intellectual property

Ownership of project deliverables is determined by the agreement between the client and freelancer. Unless otherwise agreed, users retain ownership of content they upload to Titleblock.

By uploading content, you grant Titleblock the limited rights necessary to store, display, transmit and process that content for the purpose of operating the service.

11. Platform availability

We aim to keep Titleblock available and secure, but we do not guarantee uninterrupted or error-free operation. Features may be changed, suspended or withdrawn where reasonably necessary.

12. Limitation of responsibility

Titleblock does not guarantee the quality, legality, safety, suitability or accuracy of work offered or delivered by users. Clients and freelancers are responsible for deciding whether to enter into a project agreement with each other.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

13. Suspension and termination

Titleblock may suspend or close accounts where reasonably necessary to protect users, investigate suspected misconduct, comply with law, prevent fraud or enforce these Terms.

14. Changes to these Terms

We may update these Terms from time to time. The current version will be published on this page with an updated revision date.

15. Governing law

These Terms are governed by the laws of Ireland, subject to any mandatory rights that apply to consumers under applicable law.
